Terms and Conditions

§1 Scope

These General Terms and Conditions apply to all contracts between AgentFlowMarketing, Achillesstrasse 69, 13125 Berlin (hereinafter 'Provider') and the customer for the provision of web design, web development, and automation services.

§2 Services

The Provider offers services in web design, web development, workflow automation, and digital solutions. The exact scope of services is defined in the respective offer or service description.

§3 Contract Formation

The contract is concluded by the Provider's written order confirmation or by the commencement of service provision. The Provider's offers are non-binding and subject to change.

§4 Prices and Payment Terms

All prices quoted are exclusive of statutory VAT. Payment is made as agreed, typically 50% upon order placement and 50% upon completion.

§5 Payment Methods

Payments are due within 14 days of invoicing. In case of payment delay, the Provider reserves the right to suspend work and charge default interest.

§6 Delivery and Acceptance

Delivery times are individually agreed. The customer is obligated to accept the work when the agreed service has been provided in accordance with the contract. Acceptance is deemed given if the customer does not report defects in writing within 14 days of delivery.

§7 Warranty

The Provider warrants that the services provided correspond to the agreed scope. Defects must be reported in writing without delay. The warranty period is 12 months from acceptance.

§8 Liability

The Provider is fully liable for damages resulting from injury to life, body, or health. Otherwise, the Provider is only liable for intent and gross negligence. Liability is limited to typical, foreseeable damages.

§9 Usage Rights and Copyright

Upon full payment, the customer receives exclusive usage rights to the created works for the agreed purpose. Copyright remains with the Provider. The Provider is entitled to use the work as a reference.

§10 Confidentiality

Both parties undertake to keep all confidential information obtained during the cooperation secret and to use it only for the agreed purposes.

§11 Termination

Ongoing contracts can be terminated by either party with one month's notice to the end of the month. The right to extraordinary termination for good cause remains unaffected.

§12 Final Provisions

The law of the Federal Republic of Germany applies. Place of performance and jurisdiction is Berlin, provided the customer is a merchant. Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
